By-Laws of
Hugo Wurdack Farm Advisory Committee

ARTICLE II
MISSION

The Advisory Committee shall guide and support the integrated management of the forage, livestock, and natural resources of the Hugo Wurdack Farm in order to demonstrate land use practices that are economically viable and environmentally sound for the Ozark Region of Missouri.

The Committee shall assist in delineating the needs of research and extension in the five-county area served by the Wurdack Farm.

The Committee shall advise university administration, state and Federal legislators, industry and other interested parties of needed program support of the Wurdack Farm.

The Committee shall provide linkages and feedback mechanisms to the commodity and agriculturally oriented organizations throughout the state.

The Committee shall keep producers and others in the area informed about programs and activities at the Wurdack Farm and serve as good will ambassadors.

ARTICLE II
MEMBERS

Number of Members

The Advisory Committee shall consist of a minimum of ten (10) individuals.

In an effort to foster geographical balance, there shall be at least one (1) member from each of the following counties: Crawford, Dent, Gasconade, Maries, and Phelps. Individuals from nearby counties not currently represented on the Committee are welcome at any time to seek membership.

Minimum Qualifications

The Advisory Committee will strive for diversity among its membership and will encourage participation from (but not limited to) county extension councils, Farm Bureau, SWCD, and private producers. Regardless of their affiliation, all members shall have an interest in the development of the Farm's forages, livestock and/or natural resources.

Selection

All individuals currently serving as Advisory Committee members as of the adoption of these By-Laws shall continue to serve in their respective capacities.

Term of Appointment

Each Advisory Committee member, unless resigned or otherwise separated from their appointment is eligible to succeed themselves indefinitely.

Additions to Committee

Any individual who wishes to become a member of the Advisory Committee shall petition the current membership for nomination.

Following recommendation of the Advisory Committee, the name(s) of potential nominees are to be submitted to the Director of the Agricultural Experiment Station for official appointment.

Resignation from Committee

Any member or officer of the Advisory Committee may resign at any time by giving written notice to the Chairperson. Such resignation shall take effect at the date of receipt of such notice, or any later time specified in the letter of resignation.

Acceptance by the Advisory Committee of the resignation shall not be necessary to make it effective.

In the event that such resignation drops the number of Advisory Committee members below the minimum number of ten (10) or a county loses its representation, the Chairperson shall solicit nominations for consideration at the next regularly scheduled meeting of the Advisory Committee.

ARTICLE III
MEETINGS

Place of Meetings

Unless another location is approved by the Advisory Committee all meetings will be held at the Wurdack Farm Educational Building located on the farm.

Regular Meetings

Unless other dates are approved by the Advisory Committee, the Committee shall hold four (4) regularly scheduled meetings in the calendar year:

  • The Winter meeting during the month of February
  • The Spring meeting during the month of June.
  • The Summer meeting during the month of September.
  • The Fall meeting during the month of November.

Special Meetings

Special meetings of the Advisory Committee may be called by the Chairperson[, the Superintendent, or a majority of the Advisory Committee members.

Quorum

One-third of the full Advisory Committee membership shall constitute a quorum for the transaction of business, and the act of a majority of the committee members present at a meeting in which there is a quorum shall be the act of the Advisory Committee.

In the absence of a quorum, a majority of the Advisory Committee members present at the meeting may adjourn the meeting.

Procedure at Meetings

Unless otherwise approved by the Advisory Committee, all deliberations of the Committee shall be governed by Robert's Rules of Order.

Compensation

No Advisory Committee member shall be entitled to compensation for attendance at any meeting of the Advisory Committee or any committee thereof.

ARTICLE IV
OFFICERS

Officers

Officers of the Advisory Committee shall be Chairperson, Vice-Chairperson, Secretary and the Farm Superintendent.

Election of Officers

With the exception of the Farm Superintendent (who is appointed by the Director of the Agricultural Experiment Station), the Vice-Chairperson and Secretary shall be elected by the Advisory Committee at the fall meeting and assume their duties at the winter meeting.

The sitting Vice-Chairperson shall assume the duties of Chairperson at the winter meeting.

Terms of Office

With the exception of the Farm Superintendent (who is appointed by the Director of the Agricultural Experiment Station), the term of each office shall be one (1) year.

Compensation

Officers shall receive no compensation for holding office.

Duties of the Chairperson

  • Preside over all regular meetings of the Advisory Committee.
  • Call for and preside over all special meetings of the Advisory Committee.
  • Assist the Farm Superintendent in the final preparation of all strategic plans.

Duties of the Vice-Chairperson

  • Attend all regular and special meetings of the Advisory Committee.
  • Act on the behalf of the Chairperson in the event that the Chairperson cannot attend meeting(s) of the Advisory Committee.

Duties of the Secretary

  • Attend all regular and special meetings of the Advisory Committee.
  • Record minutes of all regular and special meetings of the Advisory Committee.
Duties of the Farm Superintendent

  • Attend all regular and special meetings of the Advisory Committee.
  • Prepare the strategic plan.
  • Prepare quarterly updates on farm activities and/or needs.
  • Serve as liaison between the Advisory Committee and Agricultural Experiment Station administrators and research scientists.

ARTICLE V
STANDING COMMITTEES

There shall be four (4) Standing Committees to assist the Chairperson and Farm Superintendent: Finance, Forage/Livestock, Natural Resources, and Outreach.

Advisory Committee members in good standing may serve on no more than two (2) Standing Committees at any one point in time. If a member is currently serving on two standing committees and wishes to serve on a third, then he/she must resign from one of the other two standing committees.

Standing Committees may elect to hold committee meetings in conjunction with one of the regularly scheduled Advisory Committee meetings or hold special meetings as the need arises.

They must, however, notify the Chairperson and/or Farm Superintendent of any meeting at least ten (10) days before such meeting takes place.

ARTICLE VI
MISCELLANEOUS

Notification of Meetings

Notice of date, time, place and purpose of each meeting of the Advisory Committee shall be delivered by the Farm Superintendent to each Advisory Committee member, in writing via e-mail or U.S. Mail at least ten (10) days before such meeting. If given by U.S. Mail, such notice shall be deemed delivered upon deposit in the mail system.

Field Day

Unless another date is approved by the Advisory Committee, the annual Field Day for area producers shall be the first Friday in October.

Other Public Meetings

Notice will be given to the Chairperson of all public meetings approved by the Farm Superintendent.
